I have a Matsonic 7102C Socket 370/Slot 1 motherboard, currently with a Celeron 400. I would like to upgrade to a Slot 1 PIII 600 (the max the mobo can handle). I have heard that you need to re-install Windows 98 on a CPU change. As all of the hardware/drivers other than the CPU will be the same, is this really necessary ? It would be a major PITA if so ...

No you will not need to reinstall Windows. Even with a MOBO and CPU upgrade the existing Windows install can accommodate the changes.
