Motherboard problem?

My system stops responding if I use ctrl+alt+del or hit the reset button on the case. I have no OS loaded and also I tried removing all drives and cards so it was just the board chip and memory. Does this sound like a problem with the motherboard?

When it reboots the screen goes blank, and thats when it stops responding.

might check if your memory stick(s) are seated. possibly try a different stick(s)
