Have problems with Intel Prescott P43...

I built a new PC
The shop recomended new Prescott CPU so I fell for it.
I bought: ASUS P4V800-X motherboard Bios 1002
Intel Prescott3,0GHz (1024L2)
512MB PC400 DDR Original Apacer
Sweex Miditower Xenon XS ATX 300w

So I set everything together (put in my FX5600 grafic card,CD etc). I started it up, everything sems perfect It works like a charm in Bios, but suddenly it locks up totally, nothing works I havent changed anything in Bios. Ok first thing I tough was Bios, I checked with ASUS homepage and the bios wersion that i have didn´t support Prescott, so I started to flash bios with newer 1004, dam it froze again, so the Bios was corrupt. I had another mother board (newer one) P4S800D-E/DELUXE (Bios 1002)this bios works with Prescott according to ASUS, so I tested this card also, same problem it frezes after some time, longer time. I have installed two new fans inside the box, so the coling shouldn´t be the issue. I disconected HD, Diskette, CD and went into bios same problem after some minutes it froze. Changed AGP card with same problem. Sometime I get a text message in bios "Overclocking failed" please enter set up to reconfigure. I have not changed anything i bios (so this is quite surprising), I have set bios to default tried so find out if something was wrong i bios. I cant find any, so I dont understand anything!
I dont remember perhaps I had the same bios message on the first MB.

Help me, I´m so angry om this PC, I have never before had this kind of problem when I have built computers. Please give me suggestions what to do!

Please do not double post.....this causes the moderator much confusion and I can't afford to be any more confused than I already am.
